Terms of Service

The terms that govern access to and use of River SIS.

1. Acceptance and Scope

These Terms of Service apply to your access to and use of River SIS, including our marketing pages, registration flows, school administration platform, related applications, and support interactions. They form a binding agreement between River SIS and the school, organisation, or individual using the service.

By accessing or using River SIS, you agree to these Terms and our Privacy Policy. If you do not agree, you must not use the service. If you use River SIS for or on behalf of a school or other organisation, the words "you" and "your" include both you individually and that organisation.

  • These Terms apply to trial, beta, free, paid, and pilot use unless we expressly state otherwise in writing.

  • Our Privacy Policy explains how we collect, use, and disclose personal data in connection with the service.

  • Additional written order forms, pricing terms, or service-specific terms may supplement these Terms where applicable.


2. Eligibility and School Authority

You may use River SIS only if you can form a binding agreement and are authorised to use the service under applicable law. If you register or administer an account for a school, school site, school group, or other organisation, you represent that you are authorised to accept these Terms on that organisation’s behalf.

Schools and organisations are responsible for deciding which users may access the platform, what data may be uploaded, and whether appropriate notices, permissions, and internal approvals have been obtained before using River SIS with staff, students, parents, or other community members.

  • You must provide accurate registration and account information and keep it reasonably up to date.

  • You must not register an institution or workspace in a misleading way or impersonate another school, person, or entity.

  • If you do not have authority to bind an organisation, you may not activate or administer the service on its behalf.


3. Accounts and Security

You are responsible for safeguarding account credentials, authentication methods, devices, and access permissions associated with your use of River SIS. You must use reasonable security measures and must not share credentials in a way that undermines account integrity or organisational controls.

You are responsible for activity that occurs through your account or under your organisation’s workspace, except to the extent caused by our breach of these Terms or our failure to maintain reasonable service security. You must notify us promptly if you become aware of unauthorised access, credential compromise, or suspicious use.

  • Each user should have their own account unless a feature explicitly supports shared access.

  • Schools should review user roles, permissions, and access rights regularly and disable access for departed or inactive users.

  • You must not attempt to bypass authentication, permissions, quotas, or security controls.

  • We may require password resets, access restrictions, or other security steps if we reasonably believe an account has been compromised.


4. Acceptable Use

You may use River SIS only for legitimate school, administrative, educational, operational, communication, or related internal business purposes. You must use the service in a lawful, responsible manner and in a way that does not interfere with the rights of others or the security, availability, or integrity of the platform.

You must not misuse River SIS, test the service in a disruptive way, or use the platform to process content or conduct activities that are unlawful, deceptive, abusive, infringing, or harmful. We may investigate suspected misuse and take appropriate action to protect the service and other users.

  • You must not upload, transmit, or store content that is unlawful, defamatory, infringing, malicious, or intended to harass, threaten, or exploit others.

  • You must not reverse engineer, probe, scrape, overload, disrupt, or interfere with the service except as expressly permitted by law and only to the extent that such rights cannot be restricted.

  • You must not use River SIS to send spam, deceptive communications, malware, or unauthorised automated traffic.

  • You must not access the service for competitive benchmarking or to build a competing product using non-public aspects of the platform.


5. Subscriptions and Payment

River SIS may offer free, pilot, beta, trial, premium, or other paid features. Pricing, billing intervals, usage limits, feature access, and subscription terms may be described on our pricing pages, in the product, or in a separate written agreement. Your organisation is responsible for paying all applicable fees and taxes associated with the services it selects.

Unless a separate written agreement says otherwise, paid subscriptions renew or continue according to the plan settings shown in the service or otherwise communicated to you. We may suspend premium features or restrict access if invoices remain overdue. We may also update pricing or plan structure prospectively by providing reasonable notice.

  • Free or beta access may be subject to quotas, fair use limits, feature restrictions, or withdrawal at our discretion.

  • Creating, coordinating, or maintaining multiple accounts for the same school in order to avoid fees, usage limits, or subscription obligations is prohibited and may be treated as a material breach of these Terms.

  • You are responsible for ensuring your billing and payment contact information is accurate and current.

  • Except where required by law or expressly stated otherwise, fees already paid are non-refundable.


6. Customer Data and Intellectual Property

As between you and River SIS, you retain rights in the data, content, documents, messages, and materials that you or your authorised users submit to the service, subject to the rights needed for us to provide, maintain, secure, support, and improve River SIS. You grant us a limited, non-exclusive right to host, process, transmit, back up, and otherwise use customer data for those purposes.

We retain all rights, title, and interest in River SIS, including our software, interfaces, designs, workflows, documentation, branding, and related intellectual property. Except for the limited rights expressly granted in these Terms, no licence or ownership right is transferred to you.

  • You are responsible for ensuring you have the necessary rights, permissions, and legal basis to submit and use customer data in the service.

  • You must not remove proprietary notices or misrepresent River SIS materials as your own.

  • We may use aggregated or de-identified information for analytics, service improvement, capacity planning, reporting, and product development, provided it does not identify your organisation or individual users as personal data.

  • Feedback, suggestions, and ideas you provide about River SIS may be used by us without restriction or compensation, provided this does not reduce your rights in your own confidential or personal data.


7. Availability and Beta Services

We work to keep River SIS available, secure, and reliable, but we do not guarantee uninterrupted or error-free operation. The service may change over time, and features may be added, removed, modified, delayed, or discontinued, especially during launch, pilot, and beta stages.

Beta, preview, pilot, early access, and experimental features may contain bugs, incomplete functionality, or changed workflows. Those features may be subject to additional limits and may be modified or withdrawn without the same notice period that may apply to more mature services.

  • Maintenance, upgrades, third-party outages, security incidents, and force majeure events may affect service availability.

  • You remain responsible for operational decisions made using the service and should use appropriate human review for important school, safety, personnel, financial, and compliance matters.

  • We may introduce, revise, or retire features as the product evolves, including during beta and launch periods.


8. Suspension and Termination

You may stop using River SIS at any time. We may suspend, restrict, or terminate access to the service or particular accounts if we reasonably believe there has been a breach of these Terms, a security risk, suspected fraud, unlawful activity, non-payment, or misuse that could harm River SIS, other users, or third parties.

Where practical, we will aim to provide notice and an opportunity to address the issue before suspension or termination, but we may act immediately if needed to protect the service, comply with legal obligations, or prevent harm. Upon termination, your right to use the service ends, though provisions that by their nature should survive will continue to apply.

  • We may disable or remove access for inactive, unauthorised, or duplicate accounts that violate plan rules or security requirements.

  • Termination does not relieve your organisation of payment obligations that accrued before termination.

  • Data access or export following termination may be subject to our retention practices, technical constraints, and any separate written agreement.


9. Disclaimers and Liability

To the fullest extent permitted by law, River SIS is provided on an "as is" and "as available" basis. We disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing, usage, or trade practice. We do not guarantee that the service will be uninterrupted, error-free, or suitable for every workflow or legal requirement.

To the fullest extent permitted by law, River SIS and its affiliates, officers, employees, contractors, and service providers are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunity arising out of or related to the service. Where liability cannot be excluded, it will be limited to the amount paid by your organisation for the affected paid service in the 12 months before the event giving rise to the claim, or if no fees were paid, to a reasonable nominal amount permitted by law.

  • Nothing in these Terms excludes liability that cannot be excluded under applicable law.

  • You are responsible for your own compliance obligations, internal approvals, recordkeeping decisions, and use of outputs from the service.

  • No information or statement from River SIS creates a warranty unless expressly set out in a written agreement signed by an authorised representative.

  • If applicable law does not allow certain exclusions or limitations, those exclusions and limitations apply only to the extent permitted.


10. Governing Law and Contact

These Terms are governed by the laws of Estonia, without regard to conflict of laws principles. Unless a separate written agreement states otherwise, disputes arising out of or relating to these Terms or the service will be subject to the courts of Estonia.

We may update these Terms from time to time to reflect changes in our services, laws, pricing, operational practices, or product structure. When material changes are made, we will update the effective date on this page and may provide additional notice through the service, by email, or through other reasonable means.

  • If your organisation has a separate written agreement with River SIS, that agreement will control to the extent of any direct conflict with these online Terms.
